TariffIQ Terms of Service

These Terms are a binding agreement between you and TariffIQ LLC, doing business as TariffIQ. By creating an account, accepting these Terms electronically, purchasing, or using TariffIQ, you agree to them and represent that you may bind your organization.
1. Eligibility And Accounts
You must be at least 18 and legally capable of contracting. You must provide accurate information, protect credentials, promptly update material changes, and accept responsibility for users and activity under your account. You may not impersonate another person, create deceptive accounts, share credentials outside your organization, or evade a suspension.
2. Informational Technology Platform
TariffIQ provides software that organizes data, suggests possible HTS classifications, estimates tariff exposure, models policy overlays, compares sourcing scenarios, displays analytics, and connects buyers and suppliers. TariffIQ is not a customs broker, attorney, importer of record, government agency, financial adviser, or entry-filing service. Outputs are informational workflow aids, not legal, customs, tax, financial, sourcing, or professional advice.
3. Customs, Tariff, And HTS Information
HTS and duty results may be incomplete or inaccurate. A code existing in the official schedule does not establish that it is correct for a product. You remain solely responsible for reasonable care and for verifying classification, value, origin, duties, admissibility, licensing, marking, preference eligibility, sanctions, forced-labor restrictions, and required records with official sources and qualified professionals. TariffIQ outputs are not customs entries, binding rulings, origin certifications, government approvals, or guarantees.
4. Marketplace Role
TariffIQ is a technology platform connecting buyers, suppliers, and other users. TariffIQ is not a buyer, seller, manufacturer, distributor, agent, broker, fiduciary, partner, representative, or party to transactions between users. Users contract directly with each other and bear all transaction, payment, product, delivery, compliance, and commercial risk.
5. No Supplier Endorsement Or Guarantee
A supplier's appearance, ranking, match, approval, screening status, badge, profile enhancement, sponsored result, or preferred placement is not an endorsement, certification, recommendation, warranty, government clearance, or guarantee. Screening is limited, may rely on incomplete or false information, can become outdated, and does not replace independent diligence. Paid placement affects visibility and does not establish quality, safety, compliance, or suitability.
6. User Due Diligence
You must independently validate identity, beneficial ownership, restricted-party status, factory and product information, certifications, samples, inspections, insurance, contracts, payment protection, product safety, intellectual property, origin, sanctions, forced-labor risk, and agency requirements. TariffIQ is not responsible for supplier statements, products, nonpayment, delays, seizures, recalls, infringement, injury, property damage, or disputes.
7. User Obligations And Prohibited Conduct
You must provide accurate information and comply with applicable trade, labor, environmental, product-safety, privacy, anti-bribery, sanctions, export-control, forced-labor, and customs laws. You may not facilitate prohibited goods, counterfeit goods, fraud, duty evasion, false certifications, malware, unauthorized scraping, security attacks, or infringement.
8. User Content, Public Profiles, Privacy, And Third Parties
You retain ownership of submitted content and grant TariffIQ a worldwide, nonexclusive, royalty-free license to host, process, reproduce, transmit, display, and use it as reasonably necessary to operate, secure, support, and improve the Services. You represent that you have authority to provide it. Public profiles are optional where shown. Buyer contact information may be disclosed after an authorized lead-credit claim. Personal information is also governed by the TariffIQ Privacy Policy. TariffIQ may use third parties including Clerk, Stripe, OpenAI, Supabase, government data providers, integration providers, and cloud hosts and is not responsible for their availability, accuracy, terms, security, or practices.
9. AI Output
AI output may be incomplete, inaccurate, or inconsistent. You must independently review it and may not represent it as verified by TariffIQ, CBP, USITC, a broker, or counsel unless separate documented verification occurred.
10. Billing, Subscriptions, And Credits
Subscriptions renew until canceled as disclosed at checkout. Lead credits are nontransferable platform units with no cash value and are generally nonrefundable. Claiming a match consumes a credit even if no transaction occurs. You are responsible for applicable taxes and marketplace transaction costs.
Unless a different offer is stated, the 14-day buyer trial begins when the first SKU CSV is successfully imported, not when an account is created. Invalid, blank, or rejected uploads do not activate the trial. After expiration, stored account data may be retained while analysis, refreshes, editing, planning, sourcing, analytics, exports, and other paid functionality are restricted.
11. Intellectual Property, Feedback, And Confidentiality
TariffIQ and its licensors own the software, design, trademarks, compilations, workflows, and related intellectual property, excluding user content and public-domain government materials. You receive a limited, revocable, nonexclusive, nontransferable right to use the Services for internal business purposes. TariffIQ may use feedback without restriction or compensation. Each party will use reasonable care with the other's nonpublic business information, but information shared directly with another marketplace user is not guaranteed confidential; use a separate nondisclosure agreement when appropriate.
12. Availability, Suspension, And Termination
TariffIQ may change, limit, suspend, or discontinue features, data sources, accounts, content, screening status, or supplier access. We may act when we reasonably suspect fraud, nonpayment, illegality, sanctions exposure, security risk, user harm, or a Terms violation. Maintain independent copies of records required for business or legal purposes.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, DATA, REPORTS, MARKETPLACE, MATCHES, SUPPLIER INFORMATION, AND AI OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TARIFFIQ DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, AND SECURITY. TARIFFIQ DOES NOT GUARANTEE ANY CLASSIFICATION, DUTY RATE, SAVINGS, FORECAST, SUPPLIER, PRODUCT, TRANSACTION, DELIVERY, COMPLIANCE STATUS, OR RESULT.
14. Limitation Of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TARIFFIQ WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, RELIANCE, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, SAVINGS, DATA, OR BUSINESS; CUSTOMS DUTIES, PENALTIES, INTEREST, SEIZURES, DELAYS, RECALLS, CHARGEBACKS, OR MARKETPLACE LOSSES. TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF AMOUNTS PAID TO TARIFFIQ DURING THE SIX MONTHS BEFORE THE CLAIM OR $100.
15. Indemnification
You will defend, indemnify, and hold TariffIQ and its personnel harmless from claims, losses, penalties, duties, taxes, costs, and reasonable attorneys' fees arising from your content, products, listings, certifications, transactions, imports, exports, purchases, sales, legal violations, third-party rights violations, disputes, negligence, fraud, willful misconduct, or misuse.
16. Marketplace Disputes
Users resolve disputes directly. TariffIQ has no obligation to mediate, refund, enforce, arbitrate, or adjudicate a transaction. TariffIQ may preserve records, restrict accounts, request information, or cooperate with authorities without becoming a party to the dispute.
17. Governing Law
These Terms are governed by the laws of North Carolina. Courts in Catawba County, North Carolina will have exclusive jurisdiction, subject to nonwaivable law. Counsel should decide whether a business arbitration clause is appropriate.
18. Electronic Communications And Changes
You consent to electronic agreements, notices, disclosures, and records and may save or print them. We may update these Terms and will identify the new version and effective date. Material changes may require renewed acceptance.
19. General Terms
These Terms and incorporated policies are the entire agreement regarding the Services unless a signed agreement states otherwise. You may not assign them without written consent; TariffIQ may assign them in connection with a financing, reorganization, merger, asset sale, or transfer of the Services. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be modified only as necessary and the remainder continues. The parties are independent contractors, and no partnership, franchise, fiduciary, employment, agency, or joint venture is created.
